will be dissolved with legal successor on 30 June 2007 - according to the Decree No. Cg. 07-09-006631/56 of Court of Fejér County as Court of Registration (see attached copy and translation of decree). The legal form of extinction (transformation) with legal successor is amalgamation, when our company will be amalgamated into its legal successor, ISD DUNAFERR Danube Ironworks Private Company Limited by Shares on 30 June 2007. The fact of amalgamation is recorded in the Decree No. Cg. 07-10-001049/326 of Court of Fejér County as Court of Registration dealing with proceeding of ISD DUNAFERR Danube Ironworks Private Company Limited by Shares (see attached translation of this decree).

The legal successor of our company is ISD DUNAFERR Danube Ironworks Private Company Limited by Shares from the beginning of 30th of June 2007.
